1. Introduction

To use the imagi app, you must agree to the Terms below. Please read them carefully.

The following Terms and Conditions (the "Terms") are valid between you and imagi Education, Inc., a Delaware corporation (hereinafter referred to as "imagi Education," "us," and "we"). The Terms apply to your installation and use of the imagi app (the "App"), which is an online community for creating and sharing coding projects (the "Service").

By registering as a user with imagi Education and accessing and using the Service, you agree to be legally bound by these Terms. If you do not agree with these Terms, you may not access or use the Service.

If you are under 18 years of age, please have a parent or legal guardian read and accept these Terms on your behalf before you install or use the App. By accepting these Terms, you confirm that you are 18 years or older, or that you have the permission of your parent or legal guardian to install and use the App.

2. Requirements for Installing the App

The imagi app can be installed on iOS and iPadOS devices by downloading it from the Apple App Store.

3. Register for an Account

To start using the App, users must create an account. Users must enter a username, a password, and date of birth, and verify their account using an email address or phone number.

By agreeing to these Terms, users confirm that they are at least 13 years old, or that a parent or guardian has provided verifiable consent as described in Section 4 below.

You agree not to share your username and password (the "Login Information") or your account details with any third party. You accept sole responsibility for maintaining the confidentiality of your Login Information and for all use of your account. If at any point you suspect that you have become the victim of a security breach, loss, theft, or unauthorized access to this information, please contact our support team at support@imagilabs.com.

4. Age Requirements and COPPA Compliance

The App is designed for users aged 13 and older. Users under 13 years of age may not create an account or use the App unless imagi Education has obtained verifiable parental consent in compliance with the Children's Online Privacy Protection Act ("COPPA") and applicable regulations.

For users under 13: imagi Education will not knowingly collect personal information from children under 13 without first obtaining verifiable parental consent. If we learn that we have collected personal information from a child under 13 without such consent, we will take steps to delete that information as quickly as possible.

Parental rights: Parents or legal guardians of children under 13 may at any time review, request deletion of, or refuse to permit further collection of their child's personal information by contacting us at support@imagilabs.com.

For users between 13 and 18 years old, we strongly recommend that a parent or legal guardian review and accept these Terms on the user's behalf.

5. Prohibited Content and Activity

5.1. General

You agree to use the App only for lawful purposes and in a way that does not infringe the rights of, or restrict or inhibit, anyone else's use and enjoyment of the App. Misuse of the App's commenting and community features is strictly prohibited. imagi Education expressly forbids the following topics, activities, and content from the App, all related services, and any official social media channels and pages under imagi Education's management (including but not limited to Facebook, Instagram, X (formerly Twitter), TikTok, and Snapchat). Users acknowledge their responsibility for adhering to the guidelines set forth herein. The following lists are not exhaustive, and imagi Education reserves the right to take action against offensive or inappropriate behavior not mentioned in this agreement, including but not limited to suspension, restriction, or permanent denial of access to your account, with any such decision being final.

5.2. Obscene and/or Vulgar Language

Users shall not:

  • Use offensive or inappropriate words or make use of offensive usernames.

  • Create projects with abusive or vulgar language.

  • Use leet, eleet, leetspeak, or any other method of subverting or circumventing the App's content filter in order to display vulgar, offensive, explicit, or otherwise inappropriate language.

5.3. Sexually Explicit and/or Dating-Related Content

Users shall not:

  • Take part in any dating-related conversation with other users or organize an in-app event related to dating.

  • Create or discuss sexually explicit content.

5.4. Disruption

Users shall not:

  • Spam or flood the App with repeated projects, comments, or undesirable content.

  • Abuse the report tools by submitting false or misleading reports of inappropriate activity by another user.

  • Mislead other users into giving out personal information.

  • Engage in any activity that imagi Education may consider contrary to the spirit of the App.

5.5. Harassment, Threatening Behavior, Violence

Users shall not:

  • Bully, intimidate, or threaten another user.

  • Refer to extreme and/or violent real-life actions.

  • Instigate or sustain rumors about a user or imagi Education employee.

  • Improperly utilize the functions of the App to intentionally upset or distress another user (such as the creation of a username to harass another user).

  • Create content intended to harass another user.

  • Insult other users, imagi Education employees, or groups of people in-app or externally.

5.6. Real-Life Information

Users shall not:

  • Distribute or ask for full names, addresses, phone numbers, locations, or meeting places.

  • Request any personal detail that may take the App experience from virtual to personal.

  • Distribute another user's or an imagi Education employee's real-life information (name, address, phone number, social networking profiles, etc.).

  • Distribute or attempt to obtain information that can be used to locate another user, their family, friends, or an imagi Education employee.

Please note: imagi Education will not tolerate real-life threats or distribution of personal information.

5.7. Hate Speech

Users shall not:

  • Promote racial, ethnic, or national hatred, or use related slurs or symbols.

  • Insult or negatively portray someone based on their sexual orientation, gender identity, or religious orientation.

  • Negatively portray major religions or religious figures.

  • Display any form of discriminatory, bullying, prejudicial, or intolerant behavior toward another user based on religion, race, sexuality, gender, beliefs, social status, age, disability, or other distinguishing factors.

5.8. Illegal Activity / Terms Violation

Users shall not:

  • Exploit any in-app bugs or glitches that grant an unfair advantage over other users.

  • Promote the use of illegal drugs or direct any other user toward content promoting illegal activity.

  • Disclose or share any confidential imagi Education information.

  • Impersonate an imagi Education employee.

  • Advertise or promote commercial products or services.

5.9. Fraudulent Behavior

Users shall not:

  • Engage in phishing (asking for passwords or Login Information).

  • Impersonate another person, user, or imagi Education employee.

6. Consent to Monitor

We take online safety seriously and encourage you to always use caution when giving out any personally identifying information about yourself or your children. imagi Education monitors content and comments in the App. We strive to keep the App and our services safe and will take necessary actions to maintain a safe environment. If we find any violation of the rules stipulated in Section 5, we will take appropriate action.

imagi Education does not endorse user-generated content and disclaims any liability for content posted by users, or actions resulting from use of community features.

7. Your Grant of License to imagi Education

You (and your parent or legal guardian if you are under the age of 18) confirm that by uploading or otherwise submitting any materials or text within the App or any related websites or social media channels managed by imagi Education, you automatically grant (or warrant that the owner of such rights has expressly granted) imagi Education a perpetual, royalty-free, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, and distribute such materials, or incorporate such materials into any form, medium, or technology now known or hereafter developed, throughout the world.

For users under 18, this grant of license is subject to any applicable parental consent requirements under COPPA or other applicable law.

8. Warranty and Liability

The provisions under this Section 8 apply to the fullest extent permissible under applicable law. Applicable law in your jurisdiction may provide you with certain statutory rights that cannot be excluded by this section.

THE APP AND SERVICES (INCLUDING ALL CONTENT) ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, OR STATUTORY. IMAGI EDUCATION DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

imagi Education does not warrant that the App will meet your requirements, that your access or operation of the App will be uninterrupted or error-free, that defects will be corrected, or that the App (or any server that makes content available) is free of viruses or other harmful components.

The services provided by imagi Education do not include, cover, or guarantee your end-to-end connection. Third-party factors such as network performance and your device configuration can affect your overall experience.

No oral or written information or advice given by imagi Education or its employees shall create a warranty of any kind.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IMAGI EDUCATION BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE APP OR SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IMAGI EDUCATION'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE APP OR SERVICES SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNTS PAID BY YOU TO IMAGI EDUCATION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Force Majeure

imagi Education shall not be liable for any delay or failure to perform resulting from causes outside of its reasonable control, including but not limited to war, civil unrest, governmental actions, strikes, lockouts, failures of electricity, telecommunications, or internet services, natural disasters, pandemics, or similar events. In case of force majeure, imagi Education's obligations will be suspended for the duration of such event. Either party may terminate the agreement if a force majeure event continues for more than ninety (90) days.

10. Copyright

Copyright in the App and its content, including without limitation, trademarks, patents, graphics, text, photos, designs, logos, icons, images, data, and software (together referred to as "imagi Education Property"), are owned by or licensed to imagi Education. You are not permitted to reproduce, publish, distribute, sell, license, decompile, disassemble, reverse engineer, modify, translate, or adapt any imagi Education Property, except for the limited license granted below.

imagi Education hereby grants you a limited, revocable, and non-exclusive license to use imagi Education Property when you publish material created by you ("Your Material") for strictly non-commercial purposes on YouTube or similar third-party platforms, provided that:

  • Your use of imagi Education Property is not the main feature of Your Material (your own contribution must be significant).

  • Your Material does not give the impression that it is endorsed or approved by imagi Education.

  • Your Material is not unlawful, deceptive, obscene, harmful, or disparaging.

  • Your Material is not harmful or damaging to the goodwill of imagi Education.

If your use of imagi Education Property is, in imagi Education's opinion, in violation of this Section, you are obliged to immediately remove Your Material from all public media upon imagi Education's request.

11. Trademarks

imagi Education trademarks include, but are not limited to, the imagi and imagiLabs wordmarks and logos. Your use of the App or services does not grant you any rights to use our trademarks, except as expressly stated in these Terms.

12. Marketing

If you sign up for an imagi Education account using an email address, we may use the address provided to send you relevant offers and information. You can opt out of these emails by unsubscribing at any time. We do not sell, rent, or lease your email address to third parties. We will use your email address solely to provide relevant information about products and services available from imagi Education, unless compelled to disclose it by law.

13. Contests and Promotions

imagi Education may arrange contests and promotions operated by imagi Education or a third party. Separate terms and conditions will apply to such contests and promotions and will be made available at the time of the contest or promotion.

14. Privacy Policy

Please read our Privacy Policy to learn how we handle your personal data. We take your privacy seriously and have implemented appropriate security measures to protect your personal information. We will only process your personal information in accordance with our Privacy Policy and applicable law, including COPPA for children's data.

15. Violation of Rules and Indemnity

imagi Education reserves the right to seek all remedies available at law and in equity for violations of these Terms, including the right to block access to the App and to terminate your account.

You agree to indemnify, defend, and hold harmless imagi Education, its officers, directors, employees, and agents from and against any claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the App or services in violation of these Terms, or any other violation by you of these Terms.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, such determination shall not invalidate any other provision of these Terms. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent, or if modification is not possible, it shall be severed, and the remaining Terms shall continue in full force and effect.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the App shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against imagi Education.
